Terms of Use
1. Service Provider and Scope
These Terms of Use govern the use of the website https://kordevoyazilim.com and the software development, web/mobile application, e-commerce, digital marketing, and consulting services provided by KORDEVO SOFT Spółka z ograniczoną odpowiedzialnością (KORDEVO SOFT Sp. z o.o.), Łąkowa 7A, 90-562 Łódź, Polska, KRS 0001251108, NIP 7272902217, REGON 54512385800000. By using the website, you accept these terms.
2. Definitions
Provider: Kordevo Soft Sp. z o.o. Client: The natural or legal person entering into a service agreement with the Provider. User: Any person visiting the website. Services: All software and digital services offered by the Provider.
3. Formation of the Contract
The content and proposal request forms on the website do not constitute a binding offer but an invitation to treat. A service agreement is formed when the parties agree in writing (including by email or a signed contract) on the scope, price, and delivery terms. The Provider reserves the right to decline any request without stating reasons.
4. Fees and Payment
Service fees are determined by a separate proposal for each project and, unless otherwise agreed in writing, are net amounts; applicable taxes (VAT) are added. Payment terms, instalments, and invoicing are set out in the relevant service agreement. Late payments may incur default interest under applicable law.
5. Obligations of the Parties
The Client is obliged to provide the content, access, and information necessary for the project in a timely and accurate manner. The Provider performs the services with due care, within the agreed scope and a reasonable timeframe. Delays caused by the Client may affect delivery times.
6. Intellectual Property
Unless otherwise agreed in writing, the rights of use to delivered work for which payment has been made in full are transferred to the Client. The Provider's pre-existing tools, libraries, frameworks, and know-how remain with the Provider; a simple (non-exclusive) license to use these is granted to the Client. Third-party components are subject to their own licenses.
7. Confidentiality
The parties are obliged to protect trade secrets and confidential information learned in the course of the service relationship. The processing of personal data is subject to the Privacy Policy and Data Protection Notice.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Provider is not liable for indirect damages, loss of profit, loss of data, or unforeseeable damages. The Provider's total liability shall not exceed the fee paid for the relevant service. Cases of intent and gross negligence, and liabilities that cannot be limited by law, are reserved.
9. Complaints and Warranty
Complaints regarding the services may be sent to info@kordevoyazilim.com. A complaint should include the contract number/project name, a description of the issue, and the request. The Provider responds to complaints within 14 days at the latest. In the event of defective performance, the Client may request remedy of the defect under applicable law and the contract.
10. Termination
The contract terminates by written agreement of the parties or in the cases of termination provided for in the relevant service agreement. Upon termination, the fee for services actually provided up to the termination date becomes due.
11. Governing Law and Jurisdiction
These terms and the service relationship are governed by Polish law. For non-consumer Clients, the competent court is that of the Provider's registered seat (Łódź, Poland). 12. Changes
The Provider may update these Terms of Use with effect for the future. The current version is published at https://kordevoyazilim.com/en/terms. Ongoing contracts are subject to the terms in force at the time they were formed.
